Terms and Conditions of IT Service

1. Parties, Registered Office & Scope of Agreement

This Master Agreement is entered into by and between Algo Software Innovations, having its principal registered office at 01, B. U. Bhandari, S/N8/1/1A, Dighi Pune 411015, Maharashtra, India (hereinafter referred to as the "Company"), and the individual or corporate entity procuring software services (hereinafter referred to as the "Client" or "User").

The Company provides custom Information Technology software scripting, logic translation, dedicated cloud VPS provisioning, Server AMC maintenance, and server VAPT audits under Service Accounting Code (SAC) 998314.

2. Non-Advisory, Non-Vendor & Pure IT Status Declaration

The Client explicitly acknowledges and agrees to the following core regulatory declarations:

• The Company is NOT registered with SEBI as an Investment Adviser (IA), Research Analyst (RA), Portfolio Management Service (PMS), or Stock Broker.
• The Company does NOT act as an algo service provider, algo vendor, or exchange-empaneled algo provider/vendor. We are strictly an independent IT software engineering and cloud infrastructure firm.
• The Company does NOT provide buy/sell recommendations, stock tips, portfolio management, or financial advice under any circumstances.
• The Company does NOT guarantee, promise, or warrant any returns, profits, or capital protection. Financial trading involves substantial risk of capital loss, and the Client bears 100% financial and operational responsibility for all trading outcomes.

3. 100% User Ownership & Dedicated Cloud VPS Isolation

All software scripts are developed strictly according to the user’s self-directed technical specifications. The resulting algorithmic code executes exclusively inside the Client’s private, dedicated Virtual Private Server (VPS) node. The Client retains 100% control over trade execution, broker API connection parameters, position sizing, risk rules, and emergency square-offs.

4. Non-Refundable Nature of Cloud Server Assets & Coding Fees

Because software scripting and dedicated cloud server provisioning involve immediate third-party data center asset expenditures, dedicated Static IPv4 licensing, and non-recoverable engineering work:

• All payments made for custom script development, dedicated VPS hosting, Server AMC, and annual setup plans are 100% FINAL, NON-CANCELLABLE, and NON-REFUNDABLE.
• No pro-rata refunds are issued for early termination or partial billing cycles.

5. Refer & Earn Program Credits & Redemption Policy

Referral bonuses, coupon discounts, and invite credits accrued under the algoh Refer & Earn program are strictly non-transferable, non-withdrawable to personal bank accounts, and non-convertible to liquid cash. All referral balances must be redeemed exclusively as payment deductions toward algoh VPS hosting subscriptions, cloud server renewals, and approved strategy development packages.

6. Scope of Strategy Coding, Revisions & Maintenance

Strategy development packages cover the initial translation and deployment of approved deterministic logic. Algo Software Innovations does not provide free logic modifications or free strategy revisions. Any subsequent logic updates, parameter rebuilds, indicator alterations, or new condition additions are treated as separate engineering tasks subject to standard IT maintenance charges.

7. Governing Law & Dispute Resolution Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, claim, or proceeding arising under or in connection with these Terms shall be subject to the exclusive territorial jurisdiction of the competent courts located in Pune, Maharashtra, India. Prior to initiating any formal court proceedings, the parties agree to resolve disputes amicably through a single arbitrator appointed in Pune, Maharashtra.
