2. Operational & Technical Failure Risks

Automated execution relies on interconnected telecommunications networks, broker APIs, exchange price matching engines, and cloud hosting infrastructure. The Client accepts full operational risk for:

• Exchange & Broker API Outages: Temporary network downtime, rate-limiting HTTP 429 rejections, or unexpected broker API updates.
• Slippage & Liquidity Gaps: Fast-moving market conditions or wide bid-ask spreads causing orders to fill at prices differing from trigger levels.
• Internet & Cloud VPS Latency: Packet drops, network route changes, or server reboots beyond the Company’s direct control.

3. Pure IT Vendor Role & Zero Liability (SAC 998314)

Algo Software Innovations (01, B. U. Bhandari, S/N8/1/1A, Dighi Pune 411015) operates strictly as an independent software scripting and cloud infrastructure provider under SAC Code 998314. We do not act as an algo service provider, algo vendor, or exchange-empaneled vendor. Because all strategy rules, risk parameters, and order executions are entirely designed and authorized by the Client, the Company, its founders, and its engineers bear ZERO LIABILITY for any direct, indirect, incidental, or consequential trading losses or damages.

4. SEBI Regulatory Compliance & Retail Mandates

In accordance with SEBI retail algorithmic guidelines:

• All algorithmic scripts incorporate a hardcoded maximum rate limit of ≤ 10 Orders Per Second (OPS).
• Each order payload automatically appends the mandatory Broker Algo-ID.
• Clients must complete mandatory daily Two-Factor Authentication (2FA) for API token generation.
